The Care Catalogue Directory Terms & Conditions (v1.0)
These Terms of Service ("Terms") are a legally binding contract between Care Finder Assist Ltd (Company No: 16561214) ("CFA", "we", "us") and the legal entity or individual creating a listing on our platform ("Lister", "you").
The Care Catalogue is a trading name of Care Finder Assist Ltd. By creating an account, submitting a listing, or completing your subscription via our Stripe payment links, you confirm that you have read, understood, and agree to be irrevocably bound by these Terms.
RECITALS (A) CFA operates an online directory known as the "Catalogue" on its website, designed to list suppliers and services for the UK care industry. (B) The Lister wishes to advertise its services in the Catalogue. (C) CFA agrees to provide this service based on the subscription plan chosen by the Lister, subject to the non-negotiable terms and conditions of this Agreement. (D) The core principle of this Agreement is that CFA is a neutral advertising platform and does not verify any information provided by the Lister. All listings are published on a "Lister Declared" basis.
IT IS HEREBY AGREED as follows:
1. DEFINITIONS AND INTERPRETATION

"Catalogue": The online directory of services and suppliers operated by CFA.

"Introductory Period": A 28-day period commencing on the Subscription Start Date, during which the Lister can use a Premium Plan without charge.

"Lister Content": All information provided by you for your listing, including (but not limited to) business names, descriptions, text, images, logos, social media links, and any self-declared credentials (e.g., insurance, DBS checks, accreditations).

"Lister Declared": The status of all listings, confirming that all Lister Content has been provided and self-certified by the Lister, and has not been audited, inspected, or verified by CFA.

"Plan": Any subscription tier, level, or package offered by CFA for listing in the Catalogue.

"Stripe Customer Portal": The self-service online portal where the Lister is solely responsible for managing their subscription, payment details, and cancellation.

"Subscription Fee": The fee payable by the Lister (exclusive of VAT) for their chosen Plan.

"Subscription Start Date": The date the Lister completes the online subscription sign-up process via the Stripe payment link.
2. ACCEPTANCE OF TERMS
2.1. These Terms apply from the Subscription Start Date and govern all use of the Catalogue by the Lister. 2.2. You are deemed to have irrevocably accepted these Terms by completing the subscription sign-up process. These Terms must be read in conjunction with our website's Privacy Policy and Website Terms of Use.
3. CFA'S ROLE (LIMITATION OF SERVICE)
3.1. Neutral Advertising Platform: You acknowledge and agree that CFA’s role is strictly limited to that of a "neutral venue" or "advertising platform." 3.2. No Agency: We are not an agent, broker, or introducer. We are not a party to any contract that may arise between you and a user of our Catalogue.
3.3. "LISTER DECLARED" – NO VERIFICATION: This is a fundamental term of our Agreement. We do not verify, audit, inspect, check, or approve any Lister or Lister Content. (a) We do not check the identity of Listers. (b) We do not verify the authenticity of any self-declared documents, insurance certificates, DBS checks, or qualifications. (c) We do not inspect any goods, services, or premises advertised. 3.4. Moderation: We reserve the right, at our sole discretion, to remove, refuse, or edit any Lister Content. This right does not imply any obligation to monitor or verify content. 3.5. Ranking: We do not guarantee any specific ranking. We reserve the right to determine the ranking of listings based on objective factors, including subscription tier and automated profile completeness scores. 3.6. Changes to the Service: CFA is a dynamic platform. We reserve the right to modify or update any features of the Catalogue at any time and without notice. Your sole remedy is to cancel your next renewal.
4. LISTER'S WARRANTIES AND OBLIGATIONS
4.1. By submitting your listing, you make the following binding legal promises (warranties) to CFA: (a) Accuracy: All Lister Content you provide is, and will be kept, 100% true, accurate, current, and not misleading. (b) Credentials: You possess, and will maintain, all qualifications, insurance, and accreditations that you have self-declared. (c) IPR: You own or have the legal right to use all Lister Content provided. (d) Legality: Your services and Lister Content comply with all applicable UK laws and advertising standards. 4.2. Responsibility for Updates: You are solely responsible for keeping your listing up-to-date. 4.3. "Report a Concern": You acknowledge that all listings feature a "Report a Concern" button, and you will cooperate with CFA if any report is made against your listing.
5. INTELLECTUAL PROPERTY LICENSE
5.1. You grant CFA a non-exclusive, worldwide, royalty-free license to use, host, display, and distribute your Lister Content on the Catalogue and in our associated marketing. 5.2. This license terminates when your listing is permanently deleted from our system.
6. SUBSCRIPTION PLANS, FEES, AND PAYMENT
6.1. Free Listings: We may offer Free Listings at our sole discretion and reserve the right to remove or change them at any time without notice. 6.2. Premium Plans & Introductory Period: Premium Plans begin with a 28-day Introductory Period. Your first payment will be automatically charged on or after the 29th day. 6.3. Auto-Renewal: All Premium Plans are auto-renewing subscriptions (Monthly or Annual) at the then-current rate. 6.4. Cancellation (Lister's Responsibility): You are solely responsible for managing and cancelling your subscription via your Stripe Customer Portal. To avoid the next charge, you must cancel before your renewal date. 6.5. NO REFUND POLICY: All Subscription Fees are non-refundable. (a) If you cancel, your subscription will remain active until the end of the current paid billing period. No pro-rata refund will be given. (b) If CFA removes your listing due to a breach of these Terms, you are not entitled to any refund. 6.6. Invoicing: VAT invoices will be emailed to you upon successful payment. 6.7. Fee Changes: We reserve the right to change Fees. We will provide 30 days' notice for price changes to existing subscriptions.
7. LIMITATION OF LIABILITY
7.1. We provide the Catalogue on an "as-is" basis. 7.2. We are not liable for any acts, omissions, or services of any Lister. 7.3. We are not liable for any transaction or dispute between you and a user of the Catalogue. 7.4. Our total liability shall be limited to the total Subscription Fees paid by you in the twelve (12) months preceding the claim.
8. INDEMNITY
8.1. You agree to fully indemnify Care Finder Assist Ltd against all claims, costs, and damages arising from your breach of warranties, inaccurate content, IP infringement, or claims from Catalogue Users.
9. GENERAL
9.1. Data Protection: We process your data in accordance with our Privacy Policy and UK laws (ICO: ZC025632). 9.2. Governing Law: This Agreement is governed by the laws of England and Wales.
